Terms of Service

Please read these Terms carefully. They are a contract between you and Kanso Pty Ltd covering your use of Trimtab Console.
1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of Trimtab Console, operated by Kanso Pty Ltd, ACN 120 746 607 / ABN 44 590 557 906 ("Kanso Pty Ltd", "we", "us"). By creating an account or using Trimtab Console, you agree to these Terms and to our Privacy Policy. If you are using Trimtab Console on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. The service
Trimtab Console is a software-as-a-service product that helps teams plan and run their work across strategy, roadmaps, delivery and change adoption. We may add, change or remove features over time. We aim to give reasonable notice of material changes that adversely affect paying customers.
3. Accounts and eligibility
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the service.
Workspaces are owned by the organisation or individual that creates them. Workspace owners and admins control membership, roles and billing.
4. Plans, billing and AI usage
Trimtab is offered on a single plan covering the whole product, billed per editor seat — or as a flat unlimited-editors plan — monthly or annually. Read-only viewers are free. Subscriptions renew automatically for successive periods until cancelled. You authorise us and our payment processor to charge your payment method for applicable fees and taxes.
AI features draw on a monthly usage allowance included with your plan, shown as a usage bar that resets at the start of each month. You may enable pay-as-you-go usage credits to continue past the monthly limit. Amounts paid for usage are non-refundable. Fees are exclusive of taxes unless stated otherwise.
Except where required by law, payments are non-refundable. You can cancel at any time; cancellation takes effect at the end of the current billing period.
5. Acceptable use
You agree not to misuse the service. You will not: break the law or infringe others' rights; upload malware or attempt to disrupt or gain unauthorised access to the service; reverse engineer or resell the service except as permitted; or use the service to generate unlawful, harmful, or abusive content. We may suspend accounts that put the service, our users, or third parties at risk.
6. Your content
You retain ownership of the content you and your team submit to Trimtab Console ("Customer Content"). You grant Kanso Pty Ltd a worldwide, non-exclusive licence to host, process, transmit and display Customer Content solely to provide and improve the service for you, including sending relevant content to our AI sub-processors to generate the outputs you request.
You are responsible for your Customer Content and for having the necessary rights to it. AI-generated outputs are provided to you to use as part of your workspace; you are responsible for reviewing them before relying on them.
7. Our intellectual property
The service, including its software, design, and trademarks (including "Trimtab Console" and our logos), is owned by Kanso Pty Ltd or its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to our marks or software except the limited right to use the service.
8. Third-party services
The service integrates with third-party providers (for example, payment processing, AI model providers, and optional connectors such as Jira). Your use of those integrations may be subject to the third party's terms, and we are not responsible for third-party services.
9. No professional advice
Trimtab Console and its AI features help you plan and organise your work. They do not provide legal, financial, tax, medical or other professional advice, and outputs are not a substitute for professional judgement or independent verification. You are solely responsible for the decisions you make and the actions you take based on the service or its AI outputs, and for reviewing those outputs before relying on them.
10. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate or fit for your purpose.
11. Limitation of liability
To the maximum extent permitted by law, Kanso Pty Ltd will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the service is limited to the amounts you paid us for the service in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (including certain rights under the Australian Consumer Law).
12. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Kanso Pty Ltd and its officers, directors, employees and agents from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Content; (b) your use of the service; (c) your breach of these Terms or violation of any law or any third-party right; or (d) use of the service by anyone accessing it through your account. We may assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defence of those claims.
13. Termination
You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms or to comply with law. On termination, your right to use the service ends; we may delete Customer Content after a reasonable retention period, subject to the Privacy Policy.
14. Governing law and changes
These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of its courts. We may update these Terms from time to time; if we make material changes we will give reasonable notice (for example, by email or in-product). Continued use after changes take effect constitutes acceptance.
15. General
These Terms, together with the Privacy Policy and any plan or order you accept, are the entire agreement between you and us regarding the service and supersede any prior agreements on that subject. If any provision is found to be unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.
You may not assign or transfer these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. Our failure to enforce a provision is not a waiver of it. There are no third-party beneficiaries to these Terms. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control. We may give you notices in-product or by email to the address on your account.
